Pro Seller Terms and Conditions
These Terms and Conditions (hereinafter "Terms") apply to the acceptance of you as a Mercari Pro Seller to utilize Mercari to sell items associated with your business. The Pro Seller Program is invitation only. As part of our Mercari Pro Seller ("Pro") program we offer an exception for pre-approved businesses to utilize Mercari. If you are a business, the business must be organized in, operating in, or a resident of the United States or one of its territories to be eligible to open a U.S. Mercari account and use the Pro services. Your participation in the Pro program may be terminated due to breach of these Terms or the Mercari Terms of Services. Mercari may choose to terminate the Pro program at any time by providing 60 days notice.
By opening up a Pro account, you certify to us that you are using your account primarily for a business or commercial purpose. You are responsible for all tax related requirements as a business. With respect to sales tax, as a marketplace subject to marketplace sales tax laws, Mercari will collect and remit any applicable sales tax on your behalf. Such taxes will be displayed to buyers as a separate line and included in the total payment by the buyer. The sales tax amounts collected will be reported and remitted to the state taxing authorities under Mercari's Marketplace sales tax registrations.
Pro accounts must:
- Use your company or business name as the name on your Mercari account and Username
- Have a physical US postal address; PO box alone is not accepted
- Have a registered US bank account
- Provide identifying information related to your account:
- For sole proprietorships: name, physical address, date of birth and taxpayer identification number; or
- For other types of business legal entities: business name, business address, taxpayer identification number, and proof of business existence such as a Secretary of State filing, State license and/or Articles of incorporation .
- Name and address of the individuals that are authorized to access your business account and/or owner(s) or principal(s) of the business
- Provide information related to your inventory and business practices including banking information, procedures, or other business information
- You also consent to Mercari obtaining your personal and/or business credit report from a credit reporting agency at account opening and whenever we reasonably believe there may be an increased level of risk associated with your account.
Access to your balance and funds generally:
- A balance can be held in your Pro account, used to make purchases and transferred to a linked bank account or debit card via InstantPay
- Your balance may also be used to fund payments or money owed to Mercari such as payments owed for refunds or chargebacks. You are liable and agree to indemnify Mercari for all claims, expenses, fines and liability we incur arising out of:
- a Chargeback, Refund, over-payment, payment error, or other invalid payment (collectively "Invalidated Payment");
- any error, negligence, misconduct or fraud by you, your employees, or someone acting on your behalf;
- and any losses resulting from your failure to comply with the terms of this Agreement
- If your Pro account receives high volumes of chargebacks and refunds you may be asked to maintain funds as a security interest or reserve and maintained in a pending balance on your Mercari account
- Pro accounts, as businesses, may also be subject to fees that differ from the fees applicable to personal accounts. You will be notified via email 30 days prior to any changes in fees that may impact your account.
Upon pre-approval by Mercari to operate your Pro account certain assumptions apply:
- You will continue to be subject to all other terms and conditions within Mercari's Terms of Service, including the Prohibited Items and Prohibited Conduct policies respectively
- In return for being promoted as a Mercari Pro Seller, you will be responsible for ensuring your inventory conforms to standards of authenticity and will be responsible for chargebacks, returns, and refunds associated with your sales. Mercari does not indemnify Pro participants, from subsequent claims. If you are approved your items will be identified with a Pro Seller icon which can be used to prioritize and promote your listings
- You are subject to periodic reviews of your account, including your inventory, licenses and internal policies
- You may be invited to participate in feature testing and promotions specific to approved businesses in the Pro program
- You may receive, from time to time, Seller tools/features to help you list and manage your inventory on Mercari.
The parties have acknowledged the Terms and Conditions to participate in the Pro program at Mercari. Agreement is as of the date accepted.
